7. No Medical, Legal or Regulatory Advice

Regulatory classifications, licence details, device identifiers, authorized configurations and regulatory requirements may change. A licence applying to one model or configuration may not necessarily apply to another model, accessory or intended use.

Customers are responsible for reviewing the exact product identification and documentation included in their quote or order and confirming that the product is suitable for their intended use.

Nothing on the website should be interpreted as authorization to make medical, therapeutic or treatment claims that are not supported by the manufacturer’s documentation or permitted by applicable law.

9. Requests for Information and Quotes

Submitting an inquiry or requesting a quote does not create a binding sales agreement.

Quotes may be based on information provided by the customer, current supplier pricing, estimated freight, currency exchange rates, available configurations and other relevant factors.

Unless otherwise stated in writing, quotes:

  • Are valid only for the period shown on the quote;

  • Are provided in Canadian dollars;

  • Are subject to product availability;

  • May be subject to supplier confirmation;

  • May exclude taxes, shipping or optional services; and

  • May be revised before acceptance if supplier costs, exchange rates, freight charges or product availability change.

Any estimate provided before a formal written quote is for planning purposes only and is not a binding offer.

10. Pricing

Prices displayed on the website may be starting prices, estimated prices or prices for a base configuration.

The final price may depend on:

  • Device configuration;

  • Handpieces or applicators;

  • Shipping destination;

11. Order Acceptance

An order is not accepted merely because:

  • A quote is requested; or

  • A customer communicates an intention to purchase.

An order becomes binding only after it has been accepted by True North in writing and any required deposit or payment has been received and cleared.

We may decline or cancel an order for reasons including:

  • Product unavailability;

  • Supplier refusal or production limitations;

  • Pricing or description errors;

  • Regulatory concerns;

  • Suspected fraud;

  • Incomplete customer information;

  • Inability to verify qualifications or intended use where required;

  • Shipping restrictions; or

  • Events outside our reasonable control.

If we cancel an order after receiving payment, we will return the applicable payment, subject to any lawful deductions previously agreed to in writing.

12. Deposits and Payment

Certain orders may require a deposit, full payment or another agreed payment schedule before the product is ordered from the supplier or placed into production.

The applicable payment terms will be stated in the quote, invoice, order confirmation or sales agreement.

Unless otherwise stated in writing:

  • A deposit secures the order and authorizes True North to begin supplier processing;

  • An order may not enter production until the required payment is received;

  • The remaining balance must be paid before shipment, delivery or another specified milestone; and

  • Title to the product remains with True North until all amounts owing have been paid in full.

Customers are responsible for ensuring that payment information is accurate and that they are authorized to use the selected payment method.

13. Cancellations

Cancellation rights depend on the type of product, the status of the order, the supplier’s requirements and applicable law.

Products that are specially ordered, configured, manufactured, branded or imported for a particular customer may not be cancellable once supplier processing or production has begun.

Deposits may become non-refundable after True North has:

  • Submitted the order to the supplier;

  • Paid the supplier;

  • Authorized production;

  • Incurred non-recoverable shipping, processing or administrative costs; or

  • Ordered custom components or configurations.

Any cancellation terms specific to a transaction will be stated in the applicable quote, invoice, order confirmation or sales agreement.

Nothing in these Terms of Use limits any cancellation right that cannot legally be excluded.

14. Shipping, Delivery and Lead Times

Shipping and delivery dates are estimates unless True North expressly guarantees a date in writing.

Estimated lead times may be affected by:

  • Supplier production schedules;

  • Product availability;

  • Custom configurations;

  • International shipping;

  • Customs clearance;

  • Weather;

  • Carrier delays;

  • Labour disruptions;

  • Regulatory reviews;

  • Port congestion;

  • Incorrect delivery information; or

  • Other events outside True North’s reasonable control.

True North is not responsible for losses caused solely by a reasonable shipping or production delay outside our control.

Customers must provide complete and accurate delivery information. Additional costs caused by an incorrect address, failed delivery, limited site access, storage requirement or redelivery may be charged to the customer.

Before delivery, the customer must disclose any location conditions that may affect delivery or installation, including stairs, narrow entrances, elevators, loading restrictions or remote access.

15. Delivery Inspection and Damage

Customers must inspect packages and equipment promptly after delivery.

Visible damage should be noted on the carrier’s delivery documentation before accepting the shipment whenever reasonably possible.

Damage, missing components or shipping discrepancies must be reported to True North as soon as possible and within any reporting period stated in the order documents, carrier requirements or manufacturer warranty.

The customer may be required to provide:

  • Photographs or videos;

  • Packaging images;

  • Serial numbers;

  • Delivery documentation;

  • A description of the issue; and

  • Confirmation that the packaging and equipment have been preserved for inspection.

Customers should not discard damaged packaging until True North or the carrier confirms that it is no longer required.

Failure to report shipping damage promptly may limit the ability to make a successful carrier or supplier claim.

16. Returns and Exchanges

Returns require prior written authorization from True North.

Customers must not return a product to True North, the manufacturer or another address without receiving return instructions.

Unless otherwise required by law or agreed to in writing, products may be ineligible for return where they are:

  • Special-order products;

  • Custom-manufactured or custom-configured products;

  • Used, installed or operated;

  • Removed from their original packaging;

  • Missing components or documentation;

  • Damaged after delivery;

  • Subject to hygiene or contamination concerns; or

  • No longer accepted for return by the manufacturer or supplier.

Authorized returns may be subject to inspection, return shipping charges, administrative charges or supplier restocking fees.

A request to return an item does not guarantee that the return will be approved.

Defective products and warranty claims are addressed separately under the applicable warranty process.

Nothing in this section limits any non-waivable rights or remedies available under applicable law.

17. Warranty and Post-Purchase Support

Warranty coverage varies by product and manufacturer.

The applicable warranty term and coverage will be identified in the product listing, quote, invoice, manufacturer warranty document or sales agreement.

True North may assist with:

  • Initial troubleshooting;

  • Gathering photographs, videos and error information;

  • Communicating with the manufacturer or service provider;

  • Coordinating warranty documentation;

  • Arranging remote diagnostic support where available; and

  • Communicating available repair, parts or replacement options.

Warranty decisions may be subject to manufacturer review and approval.

Unless expressly confirmed in writing, True North does not guarantee:

  • Immediate replacement;

  • A loaner device;

  • On-site repairs;

  • In-house technical repairs;

  • Reimbursement for business interruption;

  • Reimbursement for lost appointments or revenue; or

  • A specific manufacturer response time.

Warranty coverage may be affected or voided by:

  • Misuse or improper operation;

  • Failure to follow the user manual;

  • Unauthorized repairs or alterations;

  • Use of incompatible consumables or accessories;

  • Improper cleaning or maintenance;

  • Damage caused by power supply issues;

  • Improper storage;

  • Accidental or cosmetic damage;

  • Damage caused during relocation; or

  • Operation by an untrained or unauthorized person.

The customer is responsible for following all manufacturer instructions and maintaining any service, cleaning and maintenance records required for warranty purposes.

18. Installation and Site Requirements

Customers are responsible for confirming that their location is suitable for the equipment before delivery.

Depending on the product, this may include confirming:

  • Electrical voltage and outlet requirements;

  • Dedicated electrical circuits;

  • Grounding;

  • Ventilation;

  • Plumbing;

  • Water quality;

  • Room size;

  • Temperature and humidity;

  • Internet access;

  • Treatment-room layout;

  • Doorway and elevator dimensions; and

  • Local facility or inspection requirements.

Any electrical, plumbing, construction or facility modification must be completed by an appropriately qualified professional.

True North is not responsible for costs resulting from a customer’s failure to prepare the site or confirm compatibility before delivery.

19. Training, Education and Onboarding

Training, education and onboarding vary by product.

Available formats may include:

  • Device onboarding;

  • Online theory education;

  • Virtual practical instruction;

  • Manufacturer-provided education;

  • In-person education; or

  • Additional paid training options.

The training included with a purchase will be identified in the applicable product information, quote or sales agreement.

Training provided or coordinated by True North is intended to support familiarity with the equipment and its general operation. It does not:

  • Grant a professional designation;

  • Create a licence to practise;

  • Expand a person’s legal scope of practice;

  • Replace manufacturer instructions;

  • Guarantee professional competency;

  • Guarantee insurance approval;

  • Guarantee regulatory or public-health approval; or

  • Authorize a person to perform a service prohibited in their jurisdiction.

Customers are responsible for ensuring that all operators have the education, qualifications, supervision and insurance required for their role and location.

20. Clinic-Readiness Resources

True North may provide clinic-readiness materials, policy templates, checklists, forms, implementation guidance and other organizational resources.

These resources provide general organizational support and customizable documentation templates. They do not constitute legal, medical or regulatory advice.

True North does not:

  • Determine professional scope of practice;

  • Certify that a clinic is compliant;

  • Guarantee an inspection outcome;

  • Replace advice from a lawyer, regulator, insurer or healthcare professional; or

  • Assume responsibility for the customer’s policies, procedures or operations.

Clinic owners and operators remain responsible for confirming and implementing the requirements that apply to their location, services, equipment and professional role.

21. Proper Equipment Use

All products must be used:

  • For their intended purpose;

  • In accordance with the manufacturer’s user manual;

  • By appropriately trained personnel;

  • With the required protective equipment;

  • In a suitable and properly maintained environment; and

  • In compliance with applicable laws, regulations, professional standards and insurance requirements.

Customers must not modify, reverse-engineer, bypass safety features or operate a device in a manner inconsistent with the manufacturer’s instructions.

Customers are responsible for establishing appropriate screening, consent, treatment, cleaning, maintenance, emergency and recordkeeping procedures.

22. Customer Accounts and Information

Where account features are available, customers are responsible for maintaining the confidentiality of their account credentials and for activity conducted through their account.

You agree to provide accurate, current and complete information when submitting an inquiry, creating an account, requesting a quote or placing an order.

You must notify True North promptly if you believe that an account or password has been accessed without authorization.

We may suspend or terminate an account where we reasonably believe that it has been used fraudulently, unlawfully or contrary to these Terms of Use.

23. Privacy
